1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of Accorda (the "Platform"), operated by ProShield Solutions LLC ("Company," "we," "us").

By accessing or using Accorda, you agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

2. Nature of the Service (Critical Section)

Accorda is an AI-powered document analysis and compliance support tool.

The Platform:

• Analyzes user-uploaded specifications and submittals
• Extracts and compares text
• Generates structured reports

Accorda does not:

• Provide engineering services
• Provide architectural services
• Provide legal advice
• Provide professional certification
• Replace professional judgment

All outputs are informational and advisory only.

You remain solely responsible for reviewing, verifying, and approving all compliance decisions.

3. No Professional Relationship

Use of Accorda does not create:

• An engineer-client relationship
• A contractor-client relationship
• A fiduciary relationship
• Any professional advisory relationship

Accorda is a software tool only.

4. User Responsibility

You are solely responsible for:

• The accuracy of uploaded documents
• Verifying AI-generated results
• Ensuring regulatory compliance
• Making final project decisions

You agree not to rely solely on AI-generated reports for critical project determinations.

5. AI Limitations Disclosure

The Platform uses artificial intelligence systems that may:

• Produce incorrect or incomplete results
• Misinterpret technical clauses
• Fail to detect conflicts or inconsistencies

Outputs may contain errors.

You acknowledge that AI systems are probabilistic and not deterministic.

6. Limitation of Liability (Very Important)

To the maximum extent permitted by law:

ProShield Solutions LLC shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Project delays
• Cost overruns
• Construction defects
• Contract disputes
• Regulatory penalties
• Lost profits
• Loss of business
• Loss of data

In no event shall the Company's total liability exceed the amount paid by you to the Company in the twelve (12) months preceding the claim.

If no fees were paid, liability is capped at $100.

7. Indemnification

You agree to indemnify, defend, and hold harmless ProShield Solutions LLC and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your project decisions
• Your uploaded content
• Reliance on AI-generated outputs

8. Intellectual Property

The Platform, including:

• Software code
• AI models
• Interface design
• Branding
• Generated report structure

are owned by ProShield Solutions LLC.

You retain ownership of your uploaded documents.

9. Data Usage

We process your uploaded documents solely to provide the service.

We do not claim ownership of your documents.

10. Acceptable Use

You agree not to:

• Upload illegal content
• Attempt to reverse engineer the system
• Use the Platform for unlawful activities
• Upload malicious files

We may suspend accounts for violations.

11. Termination

We may suspend or terminate access at our discretion.

You may stop using the Platform at any time.

Termination does not eliminate liability for prior use.

12. Warranty Disclaimer

The Platform is provided "AS IS" and "AS AVAILABLE."

We disclaim all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy

We do not guarantee uninterrupted or error-free operation.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles.

14. Dispute Resolution

Any dispute shall be resolved through binding arbitration in Ohio.

You waive the right to participate in class actions.

15. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.
